تحلیل تطبیقی هاردشیپ در حقوق قراردادها با تأکید بر رویکرد اصول قرارداد‌های تجاری بین‌المللی

چکیده

ر مواردی که حسب تغییر اوضاع و احوال قراردادی، اجرای قرارداد برای یکی از طرفین بسیار دشوار و یا بی‌فایده شود، به موجب دکترین هاردشیپ (دشواری مفرط) می‌توان در قرارداد موجود تجدید نظر نمود. دکترین مزبور که سال‌ها مورد توجه نظام‌های حقوقی مختلف قرار گرفته، همواره با چالش‌هایی روبه‌رو بوده است چرا که اولاً به ظاهر، مخالف اصل لزوم در قراردادها است و ثانیاً تعریف روشنی از این وضعیت ارائه نداده است. با وجود این، اصول قراردادهای تجاری بین‌المللی (UPICC)، در تعریفی که از وضعیت هاردشیپ ارائه داده، تغییراتی را راجع به مفاد دکترین مزبور ایجاد نموده که موجب تغییرات بنیادین اوضاع و احوال در قرارداد شود. حال سوالی که در این رابطه مطرح می‌شود این است که به چه مواردی تغییرات بنیادین اطلاق می‌شود؟ پژوهش حاضر ضمن بررسی نظرات و ملاک‌های موجود در خصوص تشخیص تغییرات بنیادین، با مطالعۀ تطبیقی در سایر نظام‌های حقوقی به ارائه ملاک مناسب در خصوص تغییرات بنیادین پرداخته که نشان‌دهندۀ همگرایی نظام‌های حقوقی در خصوص این موضوع است.

چکیده [English]

In some cases, according to change of contractual circumstances, if performance of contract for each party difficult or useless, by virtue of Hardship doctrine, the contract could be revised. This doctrine is a remarkable one in different legal system and usually be face with Challenges. Because firstly contrary to pacta sunt servanda, secondly there is not a clear definition in this situation. However, principles of international commercial contract (UPICC) render a definition about situation of Hardship and stated that when the occurrence of events fundamentally alters, the situation of hardship is Inevitable. So the question is arised that what issues is called fundamentally alters?  In this paper, by survey available theories and criterions about diagnosis of fundamentally alters, by comparative study in other legal system, we have determined appropriate criterion about fundamental alternatives.
